Tasks & responsibilities
TS projects are typically complex, integrated assignments that frequently involve working with colleagues across a variety of disciplines such as Legal, Tax, Business and Operations. As part of M&A and Transaction Services you will play a vital role in executing M&A projects.
You will contribute to M&A transactions and license projects, in particular within the areas of: General: Provide financial support throughout the life cycle of an M&A transaction, including negotiation support Due Diligence: execute financial due diligence, i.e. gather, verify and analyse information, and formulate views highlighting the value drivers, outlining of risks and opportunities for the deal from a financial perspective Financial Modelling/Valuation: support company valuations based on market standard tools (DCF, etc.) Contracts: support financial aspects of a share/asset purchase agreement or ancillary agreements such as working capital targets, definition of financial items Structuring: analysis and design of different transaction structures and its impact on valuation & financial logistics (e.g. share deal/asset deal, earn out & milestone structuring) Others: support purchase price allocations with tax, post transaction accounting impact or other financial aspects of a transaction process Requirements University degree in Finance or Business Administration (or a degree supplemented with a finance background), preferably complemented by further qualifications like a CPA or CFA At least six years of work experience in an international environment, e.g. one of the big audit firms (preferably in transaction advisory services) or with transaction services or financial logistics/subsidiary controlling of a multinational corporation Excellent competence of national and international accounting principles, preferably supported by basic knowledge in taxation and basic legal knowledge Tenacity, flexibility, high motivation and capacity Analytical skills, team oriented attitude and the ability to adapt to new challenges and ideas Fluent in English, both written and verbal Willingness to travel (inter)nationally About us Boehringer Ingelheim is one of the world's 20 leading pharmaceutical companies.
